IRSA provides Digital Investor Relations Solutions and related services, including but not limited to investor relations websites, microsites, data dashboards, share-price charts, financial information pages, downloadable reports and presentations, investor alerts, mailing-list services, IR event calendars, and other investor communications tools (collectively, the “Digital IR Solution”). By accessing or using the Digital IR Solution, you agree to comply with these Terms and Conditions and any additional requirements communicated through our services.
The Digital IR Solution is designed to assist listed companies in communicating with shareholders, analysts, investors, media representatives, and other capital market participants. The information provided through the Digital IR Solution is intended for general informational and investor-relations purposes only and does not constitute investment advice, financial advice, legal advice, tax advice, accounting advice, or any recommendation to buy, sell, hold, or otherwise deal in securities or financial instruments.
Market data displayed through the Digital IR Solution, including where applicable share prices, trading volumes, market capitalization, issuer announcements, corporate actions, dividend information, and related securities-market information, is sourced from the Saudi Exchange (Tadawul) or approved data channels. While IRSA may process, format, calculate, visualize, or display such information, Tadawul remains the underlying source of the market data. Other content, including annual reports, presentations, company information, investor materials, and issuer communications, may be provided by the relevant listed company and remains the responsibility of that issuer.
Intellectual Property
All software, source code, databases, visualizations, charts, designs, layouts, trademarks, service marks, text, documentation, and other materials made available through the Digital IR Solution are owned by or licensed to IRSA, its clients, data providers, licensors, or other rights holders. Such materials are protected by applicable intellectual property laws, and all ownership rights remain with the relevant rights holder.
Permitted Use
You may access and use the Digital IR Solution solely for lawful, personal, internal business, or non-commercial investor-relations purposes. You may not copy, reproduce, distribute, redistribute, sell, resell, retransmit, sublicense, scrape, harvest, frame, mirror, cache for redistribution, create a competing service, develop a historical database, reverse engineer any software component, or otherwise make information obtained through the Digital IR Solution available to any third party without prior written authorization.
You may not use any information, market data, or content obtained through the Digital IR Solution in connection with the creation, issuance, trading, valuation, promotion, management, benchmarking, or settlement of investment products, derivatives, structured products, funds, indices, portfolios, or other financial products whose value, return, or performance is based on or related to such information unless all necessary approvals and permissions have been obtained from the relevant rights holders.
Disclaimer of Warranties
The Digital IR Solution and all information, data, charts, reports, alerts, calculations, tools, and content are provided on an “as is” and “as available” basis. Although IRSA uses commercially reasonable efforts to maintain the accuracy and availability of the Digital IR Solution, information may be affected by delays, interruptions, omissions, inaccuracies, system failures, maintenance activities, security incidents, network congestion, third-party infrastructure, or events beyond our reasonable control.
No warranty, representation, or guarantee is made regarding the accuracy, completeness, timeliness, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation of the Digital IR Solution. Users are responsible for independently evaluating and validating any information obtained through the Digital IR Solution before relying upon it for any purpose.
Limitation of Liability
Neither IRSA, its affiliates, clients, licensors, suppliers, data providers, nor any third party shall be liable for any loss or damage, whether direct, indirect, incidental, consequential, special, punitive, or otherwise, arising from or relating to the use of, inability to use, or reliance upon the Digital IR Solution or any information made available through it. This includes, without limitation, loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data, trading losses, investment losses, or similar damages, even if advised of the possibility of such damages.
Transmission of information over the Internet and third-party communication networks may be subject to delays beyond our control. Such delays may affect the availability of data, alerts, notifications, reports, or other services provided through the Digital IR Solution. IRSA shall not be liable for any losses arising from such delays or interruptions.
Third-Party Links
The Digital IR Solution may contain links to third-party websites, platforms, services, or resources. Such third-party services are not under the control of IRSA, and IRSA is not responsible for their content, availability, privacy practices, or accuracy. Access to third-party services is at the User’s own risk and may be subject to separate terms and conditions.
Personal Information
Certain services provided through the Digital IR Solution may require the collection and processing of personal information, including but not limited to name, email address, company name, telephone number, investor category, preferred language, and communication preferences. By subscribing to alerts, mailing lists, investor communications, or other related services, you consent to the processing of your personal information in accordance with our Privacy Policy and applicable laws and regulations.
Changes to These Terms
IRSA reserves the right to modify, suspend, restrict, replace, or discontinue any part of the Digital IR Solution and to update these Terms and Conditions at any time. Continued use of the Digital IR Solution following any update constitutes acceptance of the revised Terms and Conditions.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia. Any disputes arising from or relating to these Terms and Conditions shall be subject to the jurisdiction of the competent courts of the Kingdom of Saudi Arabia.
